01 Acceptance of Terms
By accessing or using WhatsUpMind's website, API, or any related services (collectively, the "Service"), you agree to be bound by these Terms of Service. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these terms.
If you do not agree to these terms, you must not use the Service.
02 Description of Service
WhatsUpMind provides a REST API and MCP-compatible interface that enables AI agents to send and receive messages via the WhatsApp platform. The Service acts as a bridge between your applications and WhatsApp, and is not affiliated with or endorsed by WhatsApp Inc. or Meta Platforms, Inc.
03 Eligibility & Accounts
- You must be at least 18 years old to use the Service.
- You are responsible for maintaining the confidentiality of your API keys and account credentials.
- You must provide accurate and complete information when creating an account or joining the waitlist.
- You are responsible for all activity that occurs under your account, including actions taken by AI agents using your API keys.
04 Acceptable Use
You agree not to use the Service to:
- Send unsolicited messages (spam), bulk marketing, or automated messages without recipient consent
- Harass, threaten, impersonate, or intimidate any person
- Transmit malware, phishing attempts, or other harmful content
- Violate any applicable laws, regulations, or third-party rights
- Circumvent rate limits, abuse detection, or security measures
- Resell or redistribute the Service without written authorization
- Use the Service in any manner that could damage, disable, or impair our infrastructure
We reserve the right to suspend or terminate accounts that violate these terms without prior notice.
05 API Usage & Rate Limits
Your use of the API is subject to rate limits and usage quotas as described in our documentation. We may adjust these limits at any time. Excessive usage that degrades the Service for other users may result in throttling or temporary suspension.
API keys are non-transferable and must not be shared publicly or embedded in client-side code.
06 Intellectual Property
The Service, including its design, code, documentation, and branding, is owned by WhatsUpMind and protected by intellectual property laws. You retain ownership of any content you transmit through the Service.
We grant you a limited, non-exclusive, revocable license to use the Service in accordance with these terms. This license does not include the right to modify, reverse-engineer, or create derivative works of the Service.
07 Disclaimer of Warranties
The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
We do not guarantee that the Service will be uninterrupted, secure, or error-free, or that messages will be delivered within any specific timeframe. WhatsApp platform availability and policies are outside our control.
08 Limitation of Liability
To the maximum extent permitted by law, WhatsUpMind shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or business opportunities arising from your use of the Service.
Our total liability for any claim arising from these terms or the Service shall not exceed the amount you paid to us in the 12 months preceding the claim.
09 Indemnification
You agree to indemnify and hold harmless WhatsUpMind, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from your use of the Service, your violation of these terms, or your violation of any third-party rights.
10 Modifications to Terms
We may update these Terms of Service at any time. We will notify you of material changes by posting the updated terms on this page and updating the "Last updated" date. Continued use of the Service after changes constitutes acceptance of the revised terms.
For significant changes that affect your rights, we will provide at least 30 days' notice via email before the changes take effect.
11 Termination
You may stop using the Service at any time. We may suspend or terminate your access to the Service at our discretion, with or without cause, and with or without notice. Upon termination, your API keys will be revoked and your right to use the Service will cease immediately.
12 Governing Law
These terms shall be governed by and construed in accordance with applicable law, without regard to conflict of law provisions. Any disputes arising from these terms or the Service shall be resolved through binding arbitration, except where prohibited by law.
